Why invest in Nordic Urban?

Nordic Urban develops and operates partly floating Allas well-being hubs on urban waterfronts. A proven flagship hub in Helsinki, delivering strong EBITDA combined with a defined European project pipeline underpins the company's next growth phase.

01

8.75% interest rate with quarterly repayments. 4-year maturity

The bond carries an annual rate of 8.75%, paid quarterly, with a 4-year maturity and a 3-month grace period. The bond is issued by Nordic Urban Oy and the proceeds are used to fund project development costs for the Phase I expansion hubs in Stockholm, Turku, Tallinn and Cardiff.

02

Growing profitability and diversified revenues

Group-level revenues are generated through project sales at the parent company level and through well-being, events and food&beverage within the operating subsidiaries. Outsourcing music and F&B operations to Live Nation and NoHo Partners has streamlined the operating model and supported margin expansion at the Helsinki flagship in the recent years.

03

Scalable European pipeline with secured sites

Four new hubs in Stockholm, Turku, Tallinn and Cardiff form the first phase of expansion. Stockholm, Turku and Tallinn already benefit from valid building permits, while property financing agreements are in place for both Tallinn and Cardiff. Lease agreements are typically structured for 10-20 years, with index-linked rent adjustments.

Raoul Grünstein, Founder and CEO, Nordic Urban Oy

“When we created Allas Pool Helsinki, our goal was to open the waterfront to everyone and to allow people to experience the awesomeness of urban waterfronts that had long remained underused. Today, our pools and saunas are part of daily life for hundreds of thousands of people in the heart of the city.

Now we are ready to bring Allas to new locations across Europe. This bond will help us develop the next hubs in Stockholm, Turku, Tallinn and Cardiff and move our pipeline from plans to water, saunas and real visitors."

Nordic Urban: Problem, Solution and Market

Problem

Underused urban waterfronts, growing demand for everyday well‑being

Across many European cities, central waterfronts remain underused or reserved for traffic, storage or seasonal tourism, even as more people look for everyday ways to support their health and well‑being. Traditional pools, spas and gyms are often outside the city centre, focused on a single service or operate only part of the year. This leaves a gap for accessible, year‑round destinations that combine swimming, saunas, social spaces and culture in one place, turning prime harbour locations into active urban well‑being hubs instead of untapped real estate.

Solution

Allas waterfront hubs turn underused harbours into everyday wellness destinations

Nordic Urban’s Allas hubs transform central harbour sites into floating, year‑round wellness and leisure blocks that bring together pools, saunas, wellness services, food and drink, events and live music on one compact platform. The concept is proven at Allas Pool Helsinki, where an underused port area has become a busy waterfront destination serving around 800,000 visitors per year. By pairing high‑quality design with multiple customer offerings and long‑term city partnerships, each hub opens the waterfront to residents and visitors, turning previously overlooked sites into accessible urban well‑being centres.

Business model

Capital‑light development, long‑term operations and multiple revenue streams

Nordic Urban develops each Allas hub to a defined stage, structures it into a project company and sells the property to a long‑term real estate investor in a sale‑and‑leaseback transaction, typically recycling development capital within about 18 months per project. The local operating company then runs the hub under a long‑term lease, generating recurring income from tickets, day passes and memberships, corporate and private events, and rental and revenue‑share agreements with specialist F&B and music partners. This combination of one‑off development profits and growing, diversified operating cash flows is designed to support a scalable network of hubs across several European cities.

Market

Growing global wellness economy and demand for urban well‑being hubs

Nordic Urban operates within the global wellness economy, estimated at around €5.8 trillion in 2023 and projected to reach approximately €8–9 trillion by 2028, with wellness real estate among its fastest‑growing segments, expanding at roughly 18–20% annually in recent years. The Allas concept sits at the intersection of several strong trends: urban wellness tourism, the sauna and cold‑water boom, renewed interest in outdoor activities and a shift towards year‑round, experience‑driven physical and social well‑being. At the same time, urban tourism is evolving, with visitors prioritising local and authentic experiences over traditional sightseeing. Together, these dynamics support growing demand for well‑designed, centrally located urban well‑being hubs that combine activity, relaxation and social interaction in one place, particularly in waterfront locations that can be opened up to everyday use.

Competitors

Few direct peers and a differentiated waterfront concept

Nordic Urban operates in a niche where most alternatives are traditional outdoor pools, spas, gyms or bathing facilities that typically focus on a single service, are seasonal or depend on one main revenue line. These venues rarely combine pools, saunas, F&B, culture and events into a single, year‑round waterfront destination, and they often lack a scalable development and operating model. Allas hubs are designed as recognisable urban landmarks with multiple revenue streams and a tested playbook for complex harbour sites, giving Nordic Urban a differentiated position as the concept expands to new European cities.

Impact

Clear ESG profile supporting lower‑impact, liveable waterfronts

Nordic Urban designs Allas hubs to use around 50% less energy per customer than conventional indoor pools, relying on efficient heat pumps, surplus‑heat recovery and, in Helsinki, electricity and district heating backed by Guarantees of Origin reported at 0 gCO_2/kWh. Heated pools run in closed circuits with advanced filtration, and natural‑water pools are UV‑treated without chemicals. Timber‑led, floating structures with long‑life marine hulls reduce permanent shoreline construction, while the hubs open central waterfronts year‑round to the public, supporting everyday well‑being, employment and more active city centres.

Use of funds

Together with the first Invesdor bond issued in July 2026, this funding forms part of a broader bond programme designed to fund the Phase I project development. The first round raised €1,175,250; the October 2026 funding has a maximum issue size of €1,400,000.

The final use of funds depends on the amount raised in this bond round. The three scenarios below show how Nordic Urban plans to use the proceeds at different funding levels. In all cases, the main purpose is to finance project development for the Phase I Allas hubs in Stockholm, Turku, Tallinn and Cardiff.

Minimum scenario

Scenario I: up to €500,000

Lower subscription level focused on core project development tasks.

Indicative use of funds

  • Core project development work for Tallinn and Cardiff, including progressing design and permitting based on current plans.
  • Essential early-stage design and permitting work for Stockholm and Turku.

Target scenario

Scenario II: up to €1,000,000

Target level enabling broader development work across the Phase I programme.

Indicative use of funds

  • Full project development for Tallinn and Cardiff up to construction decision, including detailed design and permitting.
  • Advanced development work for Stockholm and Turku, including detailed design, permitting and preparation for construction tendering where applicable.

Maximum scenario

Scenario III: up to €1,400,000

Maximum planned subscription level for this Invesdor bond facility (no formal minimum).

Indicative use of funds

  • Full funding of the planned Phase I project development work for all four hubs (Stockholm, Turku, Tallinn and Cardiff), including detailed design, permitting and preparation for construction.
  • Additional buffer for project development contingencies and to keep later-phase pipeline projects moving in line with the expansion plan.

Developments at Nordic Urban since the last funding round

In July 2026, Nordic Urban completed its first Invesdor bond round, raising €1,175,250 from 561 investors. The new bond in October uses the remaining capacity under the same bond programme to complete the planned development funding for the Phase I projects.

  • Tallinn: permit secured and partner financed complex
The building permit has been granted and is now legally valid. Detailed design is underway and construction tendering is planned for Q4 2026. The approximately €25 million complex will be financed and built by Estonian real estate developer Kapitel, with Nordic Urban operating the hub. This moves Tallinn from planning into a permit secured, partner financed stage and confirms the commitment of a major real estate partner.

  • Cardiff: planning application on a defined timetable
The planning application process has been initiated, with the formal submission scheduled for October 2026 and planning permission expected by the end of 2026. Investors gain greater visibility on the timing of the first UK hub and its path towards construction and operation.

  • Stockholm: detailed design underway
In Stockholm, detailed design has started in cooperation with the selected contractor, and the land lease agreement is being finalised. These steps bring Stockholm closer to construction readiness and increase visibility on future project sales and operating cash flows.

  • Turku: permit granted, appeal pending
In Turku, the building permit has been granted. An appeal against the permit is currently pending, with a decision expected in early spring 2027. According to the project developer and its legal advisers, the appeal is considered without merit and the permit is expected to remain in force. This indicates procedural risk, but the granted permit and positive legal view support Turku as part of the Phase I pipeline.

Together, these developments mean that since the July bond Nordic Urban’s projects have advanced from early planning towards permit secured, detailed design and tender stages. This progress underpins the timing of the new bond, which is intended to provide the development capital needed to carry the Phase I projects through to construction decisions and, ultimately, operational hubs.

Security & Risks

The following collateral is provided for this funding round: a business mortgage in the amount of 150 % of the actual subscription volume of the bond,  and a deficiency guarantee in the amount of 10 % of the actual subscription volume of the bond. The value of the collateral may fluctuate, particularly in the event of a default, which may result in a lower return. Detailed information on the collateral can be found in the KIIS in the documents section for this funding round.

Risks (summary)

Investing in growth companies through bonds is very high risk. You can lose part or all of the money you invest.

The following text is a short and strongly simplified overview of selected risks of an investment in Nordic Urban Oy.

It is not complete and does not replace the detailed description of risks in the  Key Investment Information Sheet (KIIS).

Before you invest, you must read the KIIS in full and with care and check whether you can understand and bear all of the risks described there.

If there are any differences between this summary and the KIIS, only the KIIS is legally binding.

Key Risk Areas (Short Overview)

Business, project and permit risk: Nordic Urban must successfully develop several Allas hubs in different countries. Delays in design, construction, land leases or permits could postpone launches and affect the expansion plans. A permit appeal is pending in Turku, and planning permission in Cardiff has not yet been granted.

Market, sector and funding risk: The projects need substantial upfront development spending. Development income may be irregular because it can depend on selling projects to property investors. Changes in local rules, construction practices or the wider economy may make development more difficult.

Default, return and liquidity risk: If Nordic Urban cannot meet its payment obligations, you may lose part or all of your investment. The collateral may be difficult to enforce or may not cover the loss; the business mortgage is secondary to existing business mortgages. Interest or repayment may be lower than expected, delayed or not paid. Inflation, currency movements, costs and your tax situation can further reduce your return.

Platform, rights and technology risk: The platform may be unavailable or close, which could delay communication or payments, although your contractual claims against Nordic Urban remain. You cannot normally end the bonds early, and there is no liquid market for them; you may have to hold them until maturity or sell at a loss. The bonds give no voting rights. Majority decisions may change bond terms. Problems, cyberattacks or failures affecting the electronic register or digital safe deposit box could limit access to or transfer of the bonds.

A complete and detailed description of all risk factors can be found only in the KIIS in the documents section of this funding round.
